Company Directors
Christopher Powell (60) (Chairman) is also chairman of Forest Support Services plc, an AIM company, and Pennine AIM VCT 6 plc. He is a non-executive director of The AIM Distribution Trust plc, The Paper House Group plc and Severn Glocon Group plc. He has spent 20 years in the accounting profession, first with Touche Ross and then with Hazlewoods, an independent firm within the Moores Rowland International group.
Mr Powell is a member of both the audit and remuneration committees.
Max Pearce (62) (Group Non-Executive Director) has held Board positions at Halfords, GKN, and Granada. He retired in 2002 as Group Chief Executive and Deputy Chairman of Haynes Publishing Group PLC.
Mr Pearce is chairman of both the audit and remuneration committees.
Chris Snook (47) (Group Chief Executive) joined Pennant in 2000 after holding senior management and strategic roles in companies in the aerospace and automotive industries including Lucas Industries and BTR Automotive. He became Chief Executive in January 2005 and is responsible for the day to day running of all Group businesses.
John Waller (59) (Group Finance Director) had 18 years experience in the accounting profession working first with Coopers and Lybrand and then with Grant Thornton. He has worked for a number of companies both as Chief Executive and Finance Director and joined Pennant in 1993.
Mr Waller is responsible for all financial functions in the Group.
Board Committees
The Directors have established an audit committee and a remuneration committee with formally delegated duties and responsibilities.
The Audit Committee
The audit committee comprises of Max Pearce and Christopher Powell and is chaired by Max Pearce. It offers a forum for reporting by the Group's external auditors. It meets at least annually and reviews the scope and results of the external audit.
The Remuneration Committee
The remuneration committee comprises of Max Pearce and Christopher Powell and is chaired by Max Pearce. The committee's policy is to attract, retain and motivate high calibre individuals as executive directors with a competitive package of basic salary, incentives and rewards which are linked to the overall performance of the Group and the interests of shareholders.
